Tread & Butter US Minimum Advertised Price Policy

1. Introduction
We recognize that our success is tied to the success of our authorized resellers. We also know that many of our resellers invest significant time and resources to create a great customer experience. We want to protect our resellers’ investment in the customer experience, and at the same time, discourage price-based advertising that would be detrimental to both our resellers and the Tread & Butter brand identity. As such, Tread & Butter has unilaterally established this Minimum Advertised Price (“MAP”) Policy.

2. Policy Statement

Resellers of Tread & Butter products are free to decide whether to follow this policy. Each reseller retains the discretion to establish its own resale price. This Map Policy does not constitute an agreement between any reseller and Tread & Butter and Tread & Butter is not seeking any response from any reseller. Tread & Butter will neither solicit nor accept any assurance of compliance with this MAP Policy.

3. Advertising Guidelines
This MAP policy applies to the advertisement of Tread & Butter products in all media, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as internet sites, social media sites, apps, or any other print or electronic media. Website features such as “click for price," “buy one, get one,” automated “bounce-back” pricing e-mails, pre-formatted e-mail responses, forms, automatic price display for any items prior to being placed in a customer’s shopping cart and other similar features are considered to be communications initiated by the reseller (rather than by the customer) and would constitute “advertising” under this MAP policy.

This MAP policy does not prohibit on-premise or in-store promotion that is not distributed to customers, including in-store signage, displays or price tags or to advertise in general that the reseller has “the lowest prices” or will match or beat its competitors’ prices, or to use similar phrases; as long as the reseller does not include any advertised price below MAP and otherwise complies with this MAP policy.

This MAP Policy also does not prohibit, and does not classify any of the following as forms of advertising:

  • Shopping cart pages on websites and mobile apps
  • Price quotes provided in response to a direct inquiry by a customer
  • Offers for free shipping of Tread & Butter products
  • Customer loyalty programs associated with store-wide purchases

4. Policy Enforcement
Tread & Butter reserves the right to cancel any pending orders, restrict future orders, or suspend the resellers account if Tread & Butter reasonably believes:

i. a reseller has violated the provisions of this policy; or

ii. a reseller intends to violate this policy.

If a reseller with multiple store locations violates this MAP policy at any one store location, or on any associated website, then Tread & Butter will consider this to be a violation by the reseller.

Tread & Butter's MAP policy administrator is solely responsible for determining whether a violation of the MAP policy has occurred, as well as determining appropriate sanctions.

Waivers to this MAP policy may be granted at Tread & Butter's sole discretion by the MAP policy administrator in writing.

Tread & Butter sales, marketing, or other personnel are not authorized to modify or grant waivers to this MAP Policy.  

The MAP policy will be enforced by Tread & Butter at its sole discretion and without notice. Resellers and distributors have no right to enforce the MAP policy. Violations of this policy may result in any of the aforementioned sanctions up to and including termination of our business relationship, as well as any available remedies at law.
